Terms of Service
These terms are an agreement between you and Outlain Inc. ("we", "us") and govern your use of our apps for Mac and the web, our websites and our related services (together, "the Service"). By using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these terms for it, and "you" includes that organization.
2. Your account
You are responsible for activity under your account and for keeping your sign-in account, devices and any recovery codes secure. Tell us promptly at support@outlain.com if you believe your account has been compromised.
3. Your content
You own the content you create or upload. You give us only the permission needed to store, sync, transmit and display your content in order to operate the Service for you and the people you choose to share it with, and to process it when you ask for a feature such as the AI assistant. This permission ends when you delete the content or your account, apart from copies that remain briefly in backups.
Notebook content is encrypted on your device before it is synced. If you choose Private protection, we cannot read or recover it, so if you lose all of your recovery methods your synced content cannot be restored. You are responsible for keeping copies of content that matters to you.
4. Acceptable use
Do not use the Service to:
- break the law or infringe anyone's rights, including intellectual property and privacy rights;
- store or share content that exploits children, promotes violence, or harasses others;
- distribute malware, send spam, or attempt to access accounts or systems without permission;
- disrupt, overload or reverse engineer the Service, except where the law expressly allows it; or
- resell the Service or use it to build a competing product.
5. AI features
AI features generate output automatically, and that output can be inaccurate, incomplete or unsuitable. Review it before relying on it, especially for legal, medical, financial or other important decisions. You are responsible for how you use AI output. AI features are provided with help from third-party providers, described in our Privacy Policy, and may have usage limits.
6. Free and paid plans
Some features are free and some require a paid plan. Plan features and limits, such as storage, are described in the Service and may change; we will give reasonable notice of changes that reduce what a paid plan includes.
Paid plans are subscriptions that renew automatically at the end of each billing period until you cancel. You can cancel at any time, and your plan stays active until the end of the period you have paid for. Prices are shown before you buy, plus any applicable taxes.
If you subscribe through the Mac App Store, Apple processes your payment, renewal, cancellation and refunds under Apple's terms, and you manage the subscription in your Apple account settings. Your use of the app downloaded from the App Store is also subject to Apple's Licensed Application End User License Agreement, except where these terms provide otherwise.
7. Third-party services
The Service works with services we do not control, such as Google sign-in, the App Store, and AI providers you connect with your own key. Your use of those services is governed by their own terms.
8. Changes to the Service
We are continually improving the Service and may add, change or remove features. If we discontinue the Service, we will give you reasonable notice and time to export your content.
9. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or end your access if you seriously or repeatedly breach these terms, if required by law, or to protect the Service or other users. Where reasonable, we will tell you first and give you a chance to export your content. Sections 3, 10, 11, 12 and 13 continue to apply after termination.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted, error-free or that content will never be lost.
11. Limitation of liability
To the fullest extent permitted by law, Outlain Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose and US $100. Some jurisdictions do not allow these limits, so they may not fully apply to you.
12. Indemnity
If you use the Service on behalf of an organization, that organization will defend and indemnify Outlain Inc. against claims arising from its content or its breach of these terms.
13. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute relating to these terms or the Service will be brought in the state or federal courts located in California, and you and we consent to their jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.
14. Changes to these terms
We may update these terms. We will post changes on this page and update the effective date, and for significant changes we will notify you in the app or by email before they take effect. If you keep using the Service after a change takes effect, the updated terms apply.
15. General
These terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
